STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions govern all wholesale transactions with OHA International Ltd, a company registered in England and Wales. By placing an order with us, the Customer agrees to abide by the following terms.

1. Interpretation

  • “Company” refers to OHA International Ltd.
  • “Customer” refers to any business or individual purchasing goods from the Company for resale or business use.
  • “Goods” means the products supplied by the Company.

2. Eligibility

Only businesses or sole traders are eligible for wholesale trade. We reserve the right to verify your business status and decline or revoke access to wholesale pricing or services at our discretion.

3. Pricing and Volume Discounts

  • There is no minimum order quantity (MOQ).
  • Volume-based discounts may apply, subject to availability and at the Company’s sole discretion.
  • All prices are in GBP (£) and exclusive of VAT unless otherwise stated.
  • Prices are subject to change without notice until payment is received and order is confirmed.

4. Payment Terms

  • Accepted payment methods: Cash and Bank Transfer.
  • Quotations are valid for 24 hours from the time of issue.
  • Payment must be received within 24 hours to confirm the sale and secure the goods at the quoted prices.
  • Late payments may result in price or stock availability changes; no interest is charged on late payments.

5. Delivery

  • Goods are dispatched via parcel or pallet, depending on the size of the order.
  • Shipping charges apply to orders under £1,000 (excluding VAT); shipping is free for orders over £1,000.
  • Dispatch typically occurs within 1–2 working days of receipt of full payment.
  • Risk passes to the Customer upon delivery. Ownership transfers upon full payment.

6. Returns, Refunds, and Damages

  • We do not offer returns or refunds on goods once sold.
  • Exceptions will only be made if pre-approved in writing by OHA International Ltd and may be subject to a restocking fee.
  • All deliveries must be inspected upon receipt.
  • Any damages or shortages must be reported within 24 hours of delivery in writing, along with photographic evidence where applicable.

7. Warranty and Liability

  • The Company provides no warranties beyond product descriptions.
  • OHA International Ltd is not liable for indirect or consequential losses, including but not limited to loss of profit, arising from the use or resale of goods.
  • Liability is limited to the value of the goods supplied.

8. Resale and Intellectual Property

  • All products are sold for resale within the agreed territory.
  • Online sales (including platforms such as Amazon, eBay, etc.) must be authorised by the Company in writing.
  • Repackaging or rebranding is not permitted without written consent.
  • All trademarks, logos, and images remain the property of OHA International Ltd and may not be used without permission.

9. Force Majeure

OHA International Ltd will not be held liable for failure or delay in performance due to circumstances beyond its control, including but not limited to natural disasters, acts of government, strikes, or transportation disruptions.

10. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
